Geniqi End User Agreement (Terms of Service)

This End User Agreement (“Agreement”) is a binding contract between you (“you”, “your”, “User”) and Geniqi, Inc. (“Geniqi”, “we”, “us”, “our”) governing your access to and use of the Geniqi software and hosted services (collectively, the “Service”). By accessing, downloading, installing, or using the Service, you agree to be bound by this Agreement. If you do not agree to the terms of this Agreement, do not use the Service.

1. Acceptance of Terms

By using Geniqi, you agree to comply with and be legally bound by this Agreement, including all terms, conditions, policies, and guidelines incorporated herein by reference. This Agreement applies to all users of the Service, including individuals and authorized representatives of organizations.

2. The Service

Geniqi provides analytics, reporting, and data enrichment services for businesses that connect their QuickBooks accounts using Intuit's approved application programming interfaces (APIs) and authentication mechanisms. Geniqi retrieves data directly from QuickBooks with your explicit authorization and enriches it using third-party data services (e.g., Plaid) as permitted by this Agreement and applicable privacy policies.

3. Authorization and Data Access

3.1 QuickBooks Connection

To use the Service, you must authorize Geniqi to access your QuickBooks company data via Intuit-approved API credentials. You represent and warrant that you have authority to grant Geniqi access to that data and that such access complies with your agreements with QuickBooks and Intuit.

3.2 Data Enrichment

After QuickBooks data is retrieved, Geniqi may process or enrich that data using third-party data services where necessary to provide enhanced analysis and insights.

3.3 Consent

By authorizing the connection, you consent to (a) Geniqi's access to your QuickBooks data, (b) secure storage and temporary hosting of that data, and (c) the use of third-party services to enrich such data as described in this Agreement and in our Privacy Policy.

4. License and Restrictions

4.1 License

Subject to your compliance with this Agreement, Geniqi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

4.2 Restrictions

You shall not:

  • Copy, modify, distribute, sell, or lease any part of the Service.
  • Use the Service to store, process, or transmit data for any third party except with explicit consent.
  • Reverse engineer, decompile, or attempt to derive any source code or underlying algorithms from the Service.
  • Circumvent authentication controls or security protections in the Service.

5. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • Ensuring that your use of the Service complies with applicable laws, regulations, and third-party agreements (including your QuickBooks agreement).
  • Providing accurate and up-to-date information to Geniqi.
  • Being solely responsible for decisions you make based on the output and analytics from the Service.

6. Privacy and Data Protection

Geniqi's collection, use, and storage of your data is governed by our Privacy Policy, which is incorporated by reference and can be found at: [Insert link to your privacy policy]. You agree that Geniqi may collect, use, process, and store data in accordance with the Privacy Policy.

We do not sell, rent, or distribute data obtained through your QuickBooks connection, and access is restricted to authorized users associated with your QuickBooks company.

7. Intellectual Property

All rights, title, and interest in and to the Service (including software, databases, reports, dashboards, designs, and documentation) are owned by Geniqi or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. Unless expressly granted in this Agreement, no rights are conferred to you by implication or estoppel.

8. Modifications to the Service

Geniqi may update, modify, or discontinue the Service (or any part of it) at any time without notice. Enhancements, bug fixes, and new features may be automatically deployed through standard updates.

9. Fees and Payment

If applicable, you agree to pay all fees associated with the Service in accordance with the pricing and payment terms provided separately. You acknowledge that Geniqi may suspend access to the Service if payment obligations are not fulfilled.

10. Term and Termination

10.1 Term

This Agreement is effective upon your acceptance and continues until terminated as set forth below.

10.2 Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Geniqi may immediately terminate your access to the Service if you breach any material term of this Agreement.

10.3 Effect of Termination

Upon termination, all rights granted to you under this Agreement will cease, and you must discontinue all use of the Service. Geniqi may delete or anonymize stored data associated with your account in accordance with our Privacy Policy.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GENIQI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Geniqi does not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GENIQI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GENIQI'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO GENIQI IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Geniqi and its directors, officers, employees, agents, and partners from and against any loss, liability, claim, damage, or expense (including attorneys' fees) arising out of or in connection with your use of the Service or any breach of this Agreement.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles. Any legal action or proceeding relating to this Agreement shall be brought exclusively in the state or federal courts located in [Insert County, State], and you consent to the jurisdiction of such courts.

15. Miscellaneous

This Agreement constitutes the entire agreement between you and Geniqi with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
